Agreement to Terms

By accessing or using HIPAA Agent ("Service"), operated by Sentinel Health Compliance, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Description of Service

HIPAA Agent is a software-as-a-service platform that provides AI-powered HIPAA compliance tools including risk assessments, policy generation, staff training, BAA management, and compliance monitoring for healthcare practices and covered entities.

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with unauthorized parties

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Subscription Plans and Pricing

Money-Back Guarantee

We offer a 30-day money-back guarantee with full access to all features. A valid credit card is required to start your subscription. If you are not satisfied within 30 days of your initial purchase, contact us for a full refund.

Billing

Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your payment method on file for all applicable fees. Billing occurs on the same date each month (or the closest available date if the original date does not exist in a given month).

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

  • Access continues until the end of your current billing period
  • No refunds are provided for partial months or unused time
  • You may export your data for 30 days after cancellation
  • Data is permanently deleted 30 days after cancellation (except as required by law)

Price Changes

We may change our pricing with at least 30 days notice via email. Price changes will apply to subsequent billing periods. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Share your account credentials with unauthorized parties
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, reproduce, or redistribute the Service or its content
  • Use the Service to develop a competing product
  • Upload malicious code, viruses, or harmful content
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Misrepresent your identity or affiliation

Business Associate Agreement

If you are a HIPAA Covered Entity or Business Associate, we will enter into a Business Associate Agreement (BAA) with you. The BAA is incorporated into these Terms by reference and governs our handling of Protected Health Information (PHI). The BAA is provided during onboarding and must be signed before you store or process PHI using the Service.

Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Sentinel Health Compliance, LLC and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to use, store, and process your User Content solely to provide the Service to you.

Service Availability

We strive to maintain high availability of the Service. However, the Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Circumstances beyond our control (force majeure)

We do not guarantee any specific uptime percentage. We will make commercially reasonable efforts to resolve any service disruptions promptly.

The Service provides compliance assistance tools and educational information, but DOES NOT constitute legal advice. You should consult with a qualified attorney for legal guidance specific to your situation. We are not a law firm and do not provide legal services.

No Guarantee of Compliance

While the Service is designed to help you achieve and maintain HIPAA compliance, we do not guarantee that using the Service will make you fully compliant. Compliance depends on your proper use of the Service and implementation of its recommendations. You remain solely responsible for your compliance obligations.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENTINEL HEALTH COMPLIANCE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Sentinel Health Compliance, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved as follows:

  • Informal Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@sentinelhealthcompliance.com. We will attempt to resolve the dispute within 30 days.
  • Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Delaware or remotely at your option.
  • Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At your request

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service at least 30 days before changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and Business Associate Agreement (if applicable), constitute the entire agreement between you and Sentinel Health Compliance, LLC regarding the Service and supersede all prior agreements and understandings.
